Terms of Service

1. About Aidely

Aidely is an AI-powered expense management application that enables subscribers to:

• Upload expense receipts in supported digital formats.
• Extract receipt information using artificial intelligence technologies.
• Automatically save uploaded receipts to their own Google Drive.
• Automatically export extracted receipt data into their own Google Sheets.
• Organise and manage expense records more efficiently.

Aidely is intended for individuals and businesses located in the Hong Kong Special Administrative Region.

2. Eligibility

To use Aidely, you must:

• be at least 18 years of age;
• have the legal capacity to enter into a binding agreement;
• maintain a valid Google Account;
• comply with these Terms and all applicable laws.

We reserve the right to suspend or terminate accounts that do not meet these requirements.

3. Account Registration

Aidely uses Google Sign-In as its sole authentication method.

By signing in, you authorise Aidely to access the Google services necessary to provide the Service, including Google Drive and Google Sheets, subject to the permissions you grant.

You are responsible for:

• maintaining the security of your Google Account;
• all activities conducted through your account;
• ensuring that your account information remains accurate and up to date.

You must immediately notify us if you suspect unauthorised access to your account.

4. Description of the Service

When you upload an expense receipt:

1. The receipt is securely transmitted to Aidely.
2. Google Vision API recognises the text contained within the receipt.
3. Groq AI extracts structured expense information.
4. The extracted information is written to your Google Sheets.
5. The original receipt is stored in your Google Drive.
6. Temporary processing files are automatically deleted from our servers after processing.

Aidely does not permanently store copies of your uploaded receipts or extracted receipt data on Pixels Magic Limited's servers.

5. Subscription Plans

Aidely offers paid subscription plans.

Certain features may only be available to active subscribers.

Additional processing beyond your subscription allowance may be charged under a pay-as-you-go pricing model.

Current pricing is displayed within the Service and may be updated from time to time.

6. Payments

Payments are securely processed through Stripe.

By purchasing a subscription, you authorise Stripe to charge your selected payment method.

Unless otherwise required by applicable law:

• all fees are charged in advance;
• all payments are non-refundable;
• taxes, if applicable, are your responsibility.

7. Cancellation

You may cancel your subscription at any time through your account settings.

Cancellation prevents future subscription renewals.

Your subscription will remain active until the end of the current paid billing period.

No refunds will be issued for unused subscription periods.

8. User Responsibilities

You agree to:

• upload only receipts that you own or are authorised to process;
• ensure uploaded information is lawful;
• verify AI-generated results before relying upon them;
• maintain the confidentiality of your Google account;
• comply with all applicable laws and regulations;
• use the Service responsibly.

You remain solely responsible for all information uploaded through your account.

9. Prohibited Conduct

You must not:

• upload malicious software;
• upload illegal or fraudulent documents;
• upload content that infringes intellectual property rights;
• attempt to gain unauthorised access to the Service;
• interfere with the operation or security of Aidely;
• reverse engineer or attempt to extract source code;
• use automated tools to abuse or overload the Service;
• use Aidely for unlawful purposes.

Violation of these Terms may result in immediate suspension or termination of your account.

10. Artificial Intelligence Disclaimer

Aidely uses artificial intelligence technologies, including Google Vision API and Groq AI, to analyse uploaded receipts.

Although these technologies provide a high level of accuracy, AI-generated information may occasionally contain errors, omissions or inaccuracies.

Subscribers are solely responsible for reviewing extracted information before using it for:

• accounting;
• tax reporting;
• reimbursement claims;
• financial reporting;
• business decision-making; or
• any other purpose.

Aidely should be regarded as an assistance tool and not as a substitute for professional accounting or financial advice.

11. Intellectual Property

Aidely, including its software, user interface, design, trademarks, logos, documentation and underlying technology, is owned by Pixels Magic Limited and protected by applicable intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable and revocable licence to use the Service.

You may not copy, modify, distribute, sell, lease or create derivative works based on Aidely without our prior written consent.

12. Your Content

You retain ownership of all receipts and other content you upload.

By uploading content to Aidely, you grant Pixels Magic Limited a limited, temporary licence to process that content solely for the purpose of providing the Service.

This licence automatically ends once processing has been completed.

Pixels Magic Limited claims no ownership of your uploaded receipts or extracted data.

13. Service Availability

We aim to provide a reliable and secure service.

However, we do not guarantee that Aidely will always be available without interruption.

The Service may be unavailable due to:

• scheduled maintenance;
• software updates;
• internet disruptions;
• third-party service outages;
• circumstances beyond our reasonable control.

14. Third-Party Services

Aidely depends upon third-party services, including:

• Google Sign-In
• Google Drive
• Google Sheets
• Google Vision API
• Groq AI
• Stripe
• Google Analytics

We are not responsible for the availability, performance or policies of these third-party providers.

Changes made by third-party providers may affect the functionality of Aidely.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Pixels Magic Limited shall not be liable for any indirect, incidental, consequential, special or punitive damages arising from or relating to:

• use of the Service;
• inability to use the Service;
• AI-generated inaccuracies;
• data loss caused by third-party providers;
• interruptions or outages;
• unauthorised access beyond our reasonable control.

Our total liability arising from any claim shall not exceed the total subscription fees paid by you to Pixels Magic Limited during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

16. Indemnification

You agree to indemnify and hold harmless Pixels Magic Limited, its directors, employees and affiliates against claims, damages, liabilities and expenses arising from:

• your misuse of Aidely;
• your violation of these Terms;
• your uploaded content;
• your violation of any law or third-party rights.

17. Suspension and Termination

We may suspend or terminate your account immediately if:

• you breach these Terms;
• you engage in fraudulent or unlawful activities;
• your use poses a security risk;
• payment cannot be successfully processed;
• continued access would expose Aidely or other users to harm.

Upon termination, your right to use the Service immediately ceases.

18. Privacy

Your use of Aidely is also governed by our Privacy Policy.

Please review the Privacy Policy to understand how your personal information is collected and processed.

19. Changes to the Service

We may modify, enhance or discontinue features of Aidely at any time.

Where reasonably practicable, we will provide advance notice of material changes that significantly affect subscribers.

20. Changes to these Terms

We may revise these Terms from time to time.

The revised version becomes effective upon publication.

Continued use of Aidely after changes become effective constitutes acceptance of the revised Terms.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Hong Kong Special Administrative Region.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
